PLEASE READ THESE TERMS OF USE CAREFULLY. BY CREATING AN ACCOUNT OR USING THE PLATFORM YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Definitions
- "Company", "we", "our", "us" — Sab Core LLC, a limited liability company organized under the laws of the State of Delaware, United States.
- "Platform" — the zetap platform including the web application, link-in-bio storefront, API and related services that let Users sell digital products, manage automated direct messages, and interact with their audience on Instagram.
- "User" / "you" — any natural or legal person who accesses or uses the Platform, whether as a Creator or a Buyer.
- "Creator" — a User who registers an account to sell digital products, manage their storefront, and use automation features.
- "Buyer" — a person who purchases digital products through a Creator's storefront.
- "Digital Product" — any digital good offered for sale by a Creator, including but not limited to recipes, meal plans, e-books, guides, presets, and other downloadable content.
- "AutoDM" — the automated direct message feature that sends pre-configured messages to Instagram users on behalf of a Creator.
- "Storefront" — the customizable link-in-bio page hosted on the Platform where Creators display and sell Digital Products.
- "Subscription Plan" — any recurring paid plan that increases usage limits and/or unlocks additional features.
2. Eligibility
- The Platform is intended only for persons aged 18 or older.
- By using the Platform you represent and warrant that you have the legal capacity to enter into this agreement under the laws of your jurisdiction.
3. User Accounts
- To use the Platform's Creator features you must register an account and connect your Instagram profile.
- Buyers may purchase Digital Products without creating a zetap account, using their email address for delivery.
- Keep your login credentials confidential; you are responsible for all activities under your account.
- You may connect only Instagram accounts that you own or are authorized to manage. We may verify account ownership at any time.
4. Services Overview
4.1 Link-in-Bio Storefront
- Customizable storefront page to showcase and sell your Digital Products.
- Mobile-optimized design tailored for Instagram traffic.
- Product catalog management with categories and pricing.
4.2 AutoDM
- Automated direct messages sent to Instagram users who interact with your content (e.g., comment a keyword on your post).
- Subject to Instagram/Meta's Platform Terms and API rate limits.
- You are solely responsible for the content of automated messages and must comply with all applicable anti-spam laws, including the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA) where applicable.
4.3 AI Assistant
- AI-powered tools to help with content suggestions, product descriptions, and customer engagement.
- AI outputs are generated by third-party models and may be inaccurate. They do not constitute professional advice.
4.4 Analytics
- Sales analytics, audience insights, and performance metrics for your storefront and products.
5. Billing & Payments
- Creator Subscriptions: We offer paid Subscription Plans billed monthly or annually in advance through Stripe. Cancel or pause anytime; features remain active until the end of the current billing period.
- AI Usage Fees: If you use AI-powered features (AI assistant, content generation, etc.), additional token-based fees apply based on actual AI provider costs. Current rates are displayed before each usage.
- Payment Processing: Buyer payments for Digital Products are processed by Stripe. An acquiring commission (payment processing fee) is deducted from each transaction as displayed on the pricing page.
- Creator Payouts: Revenue from Digital Product sales (minus acquiring commission) is paid out to Creators according to the payout schedule shown in the dashboard.
- Price Changes: We will give at least 30 days' notice before any subscription price increase applies to renewals. AI token costs may fluctuate based on provider pricing without advance notice; current rates are always displayed before usage.
- All fees are stated in USD. You are responsible for any applicable taxes (including sales tax, use tax, or VAT) based on your jurisdiction.
- Payments are processed by Stripe; we do not store full card numbers.
- Failed or disputed payments may result in suspension until resolved.
6. Creator Responsibilities
- You are solely responsible for the Digital Products you sell, including their accuracy, quality, legality, and fitness for purpose.
- You must have all necessary rights and licenses to sell the content you upload.
- You must comply with all applicable consumer protection laws, including the FTC Act, state consumer protection statutes, and providing accurate product descriptions.
- You are responsible for collecting and remitting any applicable sales taxes on your Digital Product sales unless we explicitly agree to handle tax collection on your behalf.
- You must not use the Platform to sell products that are illegal, infringing, harmful, fraudulent, or violate Meta/Instagram's policies.
7. Buyer Rights
- Digital Products are sold by Creators, not by us. We act as a platform facilitating the transaction.
- Refunds: All Digital Product sales are final unless the Creator offers a refund policy or a refund is required by applicable law.
- Refund requests should first be directed to the Creator. If unresolved, contact us at support@zetap.app.
8. Acceptable Use Policy
You agree not to:
- Use the Platform for unlawful, infringing, harmful or fraudulent purposes;
- Upload, sell or distribute content that is illegal, defamatory, hateful, harassing, violent or otherwise objectionable;
- Attempt to disrupt, exploit or compromise the Platform, circumvent usage limits or reverse-engineer its code;
- Violate Instagram/Meta's Platform Terms, Community Guidelines, or API Terms of Use;
- Send unsolicited messages, spam, or misleading content through AutoDM;
- Misrepresent your identity or affiliation.
Enforcement: We may issue warnings, temporarily suspend access, or terminate accounts depending on the severity and frequency of violations. We may remove content, disable storefronts, suspend or terminate accounts and/or report unlawful conduct.
9. Intellectual Property
- We own all rights in the Platform. You retain all rights in the Digital Products and content you upload.
- License to Us: By uploading content you grant us a non-exclusive, worldwide, royalty-free license to host, display and distribute that content solely to operate the Platform and fulfill purchases.
- AI Outputs: Subject to applicable law, you own the rights (if any) in AI-generated content you use. AI outputs may be based on third-party models with their own terms.
- DMCA: If you believe content on the Platform infringes your copyright, submit a DMCA notice to legal@zetap.app. We will respond in accordance with the Digital Millennium Copyright Act.
10. Privacy & Data Protection
Processing of personal data is governed by our Privacy Policy below.
11. Service Levels & Support
- The Platform is provided on an "as-is" basis; we target 99% uptime on a calendar-month basis but do not guarantee uninterrupted service.
- Support requests should be directed to support@zetap.app or in-app chat.
12. Disclaimers
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated content (product descriptions, suggestions, etc.) is produced by third-party AI models and may be inaccurate, incomplete or inappropriate. It does not constitute legal, medical, financial or other professional advice.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL FEES YOU PAID US IN THE PRECEDING 6 MONTHS.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, the content you sell through the Platform, or your misuse of the Platform.
15. Suspension & Termination
- We may suspend or terminate access for material breach, legal requirement or unresolved payment failure.
- You may delete your account at any time.
- Data Export: Upon termination, we will make reasonable efforts to allow data export for 30 days. After this period, all data will be deleted in accordance with our Privacy Policy.
- Outstanding Creator payouts will be processed according to the standard payout schedule after termination, subject to any pending disputes or chargebacks.
16. Governing Law & Dispute Resolution
- Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
- Small-Claims Exception. Either party may bring an individual action in small claims court in the State of Delaware (or your county of residence) if the claim qualifies.
- Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Delaware or, at your election, by telephone, online, or based solely on written submissions. The language shall be English; the tribunal shall consist of a single arbitrator.
- No Class Actions. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
- Opt-Out. You may opt out of this arbitration agreement by emailing legal@zetap.app with subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Delaware.
17. Changes to Terms
We may amend these Terms; material changes will be notified at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
18. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Platform.
- Severability: If any provision is found unenforceable, the remainder shall continue in effect.
- No Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign our rights to any affiliate or successor.

2. How We Use Your Information
We use your information for the following purposes:
- Provide and operate the Platform, including processing payments and fulfilling Digital Product purchases
- Send AutoDM messages on your behalf as configured by you
- Improve and analyze the Platform's performance and user experience
- Communicate with you about your account, service updates, and support requests
- Send marketing communications (with your consent; you can opt out at any time)
- Comply with legal obligations including tax reporting and law enforcement requests
- Prevent fraud and enforce our Terms of Use

Data is automatically deleted when retention periods expire.
4. Who We Share Information With
We share information only as necessary to operate the Platform:
- Instagram/Meta: API integration for AutoDM and profile features
- Infrastructure: AWS (US regions), MongoDB Atlas
- AI Providers: OpenAI, Anthropic (for AI assistant features)
- Payments: Stripe
- Analytics: PostHog
- Support: Email providers
We do not sell your personal information. We do not share your personal information for cross-context behavioral advertising.
5. International Transfers
Your information is primarily stored and processed in the United States. If you are located outside the US, by using the Platform you consent to the transfer of your information to the United States. Where required by law, we use appropriate safeguards such as Standard Contractual Clauses (SCCs) for transfers to or from the European Economic Area.
6. Your Rights
Depending on your location, you may have the following rights regarding your personal information:
- Access the personal information we hold about you
- Correct inaccurate information
- Delete your personal information
- Portability — receive your data in a structured format
- Opt out of the sale or sharing of your personal information (we do not sell your data)
- Withdraw consent at any time where processing is based on consent
- Non-discrimination for exercising your privacy rights

7. California Privacy Rights (CCPA/CPRA)
If you are a California resident, you have the right to:
- Know what personal information we collect, use, and disclose
- Request deletion of your personal information
- Correct inaccurate personal information
- Opt out of the "sale" or "sharing" of personal information (we do not sell or share your data for targeted advertising)
- Not be discriminated against for exercising your rights
Categories of information collected are described in Section 1 above. We do not sell personal information as defined by the CCPA/CPRA.
8. Other State Privacy Rights
Residents of Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), Utah (UCPA), and other states with comprehensive privacy laws may have similar rights to access, correct, delete, and port their data. To exercise these rights, contact us at privacy@zetap.app.
9. European Users (GDPR)
If you are located in the European Economic Area or the United Kingdom, additional protections apply under the GDPR. We process your data under the following legal bases:
- Contract: necessary to provide the Platform
- Legitimate Interests: analytics, security, fraud prevention
- Consent: marketing communications
- Legal Obligation: tax and regulatory compliance
You also have the right to restrict processing, object to processing, and lodge a complaint with your local data protection authority.
10. Security
We implement industry-standard security measures:
- Encryption in transit (TLS) and at rest
- Access controls and monitoring
- Regular security reviews
- Incident response procedures

11. Cookies
We use cookies for functionality and analytics. Essential cookies are required for the Platform to work (session management, authentication). Analytics cookies help us understand how you use the Platform and are only set with your consent where required by law.
12. Children
Our service is for users 18+. We do not knowingly collect personal information from children under 13 (or under 16 in the EEA). If we discover we have collected information from a child, we will promptly delete it.
13. Marketing
Existing customers: We may send service updates and similar product offers. You can opt out anytime.
Email subscribers: We only send marketing with your explicit consent.
Control options: Unsubscribe link in every email or contact privacy@zetap.app.
14. Changes to This Policy
We will notify you of material changes 30 days before they take effect. Minor updates will be posted with an updated date.
